1. Definitions

"Customer", "you" or "your" means the person or entity purchasing or using the software.

"Software" means Exam Pro and Exam Lite, including any accompanying documentation, source or compiled code, updates, upgrades, patches and related services provided by the Company.

"License Key / Access Code" means the activation code or credentials provided to you after purchase that enable access to the Software.

"White-label" means the Software is provided without Company branding so you may brand and present the product as your own subject to these Terms.

2. License Grant

Subject to full payment and compliance with these Terms, the Company grants you a non-exclusive, non-sublicensable (except as set forth below), non-transferable license to use the Software for lifetime on the terms below.

The License permits you to:

• Use the Software for your internal business purposes or to resell/offer it to your customers as a white-label product (unless otherwise restricted in writing).
• Customize branding, appearance and content as permitted by the Software.

The License does not grant you ownership of the Software; all rights not expressly granted remain with the Company.

3. Delivery & Activation

Delivery occurs after successful payment. We will provide the License Key / Access Code and instructions by the contact method you supply (email, portal, etc.).

It is your responsibility to provide accurate contact and billing information. We are not liable for delayed delivery caused by incorrect information.

If you do not receive the access code within 7 business days, contact us at support@buyexamsoftware.com.

4. Payment & Pricing

Products are sold as single-payment, lifetime licenses. Payment must be completed in full prior to delivery of the License Key / Access Code.

All prices are in the currency displayed at checkout and exclude applicable taxes, duties, or bank/processing fees (these are your responsibility).

We reserve the right to change prices for future purchases without notice.

5. Refund & Cancellation Policy

A refund request may be considered within 14 days of purchase only if:

• The License Key has not yet been delivered, and
• The Customer provides proof of purchase and a valid reason.

For activation or technical issues preventing access, please contact support; we will reasonably attempt to resolve problems before considering any refund.

6. Ownership & Intellectual Property

The Company retains all intellectual property rights in and to the Software, including but not limited to copyrights, trade secrets, trademarks and patents.

You may not remove, alter, or obscure any proprietary notices unless expressly permitted for white-label use by separate written agreement.

If you are allowed to rebrand (white-label), this does not transfer ownership of the underlying Software or its source code unless a separate written agreement expressly transfers such ownership.

7. White-Labeling & Source Code Access

The Software may be provided white-label ready. White-labeling rights permit you to remove visible Company branding and apply your own branding in line with provided documentation.

If full source code or full access code is provided as part of the purchased package, delivery of source code or access credentials will be made as specified at purchase.

Access to source code does not imply transfer of ownership unless explicitly stated in a separate signed agreement.

Any modifications you or your agents make to the code are your responsibility. The Company is not liable for issues arising from third-party modifications unless covered by a separate support agreement.

8. Restrictions

You agree not to, and will not permit others to:

• Copy (except as permitted by the license), modify, distribute, sell, sublicense, rent, lease, or reverse engineer the Software except as expressly allowed in writing.
• Circumvent licensing, use access codes not issued to you, or remove restrictions built into the Software.
• Use the Software to violate any law, regulation, or third-party rights.

9. Support, Maintenance & Updates

Basic support and maintenance terms (if included) will be specified at the point of sale. Lifetime license typically covers lifetime usage; support terms (duration, response times) may be limited and are as specified in your purchase agreement.

The Company may provide updates, bug fixes, or new versions. Continued compatibility or support for older versions is not guaranteed.

Major upgrades may be offered at additional cost.

10. Data, Privacy & Security

You are responsible for the content and data you upload, store, or process using the Software, including compliance with applicable data protection and privacy laws.

The Company will handle any personal information in accordance with its Privacy Policy (available separately). These Terms do not replace the Privacy Policy.

The Company is not responsible for data loss due to your misuse, misconfiguration, or third-party failures. You should maintain backups.

11. Warranties & Disclaimers

The Company disclaims all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Company does not warrant that the Software will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability for any and all claims under these Terms will not exceed the total amount you paid for the Software.

The Company is not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, loss of data, or loss of business opportunity.

13. Indemnification

You agree to indemnify, defend and hold the Company, its affiliates, officers, directors and employees harmless from any claim, liability, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your misuse or modification of the Software;
• Your violation of these Terms; or
• Your infringement of any third-party rights.

14. Termination

The Company may terminate or suspend your license and access immediately if you breach these Terms.

Upon termination, you must cease all use of the Software and destroy or return any copies as instructed.

Termination does not relieve you of payment obligations accrued prior to termination.

15. Export & Compliance

You shall comply with all applicable export control and sanctions laws and will not export, re-export, or transfer the Software in violation of such laws.

16. Changes to Terms

We may modify these Terms from time to time. Material changes will be posted on our website with an updated "Last updated" date. Continued use of the Software after such changes constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India (without regard to conflict of law principles).

Any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in India.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms (together with any purchase order, license or other written agreement you signed) constitute the entire agreement between you and the Company regarding the Software and supersede all prior understandings.
